Terms of Service

1. Agreement

These Terms govern access to and use of Prezdo (“Prezdo”, “we”, “us”), a controlled document delivery platform operated at prezdo.com and its subdomains. By creating a workspace or otherwise using Prezdo, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

2. The service

Prezdo lets workspace owners upload documents, control who can view them, and see analytics on how they are viewed. Free and paid plans differ in seats, storage, custom domains, and other limits described on our pricing page, which is the source of truth for current plan limits.

3. Accounts and workspaces

You are responsible for the accuracy of information you provide, for keeping your login credentials confidential, and for activity that occurs under your account. A workspace owner is responsible for the members they invite and the documents their workspace shares. You must be able to form a binding contract to use Prezdo — this generally means you are at least 18 or the age of majority in your jurisdiction.

4. Your content

You retain ownership of the documents you upload (“Your Content”). You grant us a limited license to store, process, and display Your Content solely to provide the service — rendering it to authorized viewers, generating analytics, applying watermarks, and enforcing the access rules you configure. We do not sell Your Content or use it to train models.

You represent that you have the rights necessary to upload and share Your Content, and that doing so does not violate any law, contract, or third party's rights. You are solely responsible for deciding who gets access to a document and under what access rule.

5. Acceptable use

You agree not to use Prezdo to:

• Upload content you don't have the right to share, or that infringes another party's intellectual property
• Distribute malware, or attempt to bypass access controls, rate limits, or authentication
• Scrape, resell, or use the service to build a competing product
• Upload unlawful content, or content that violates the privacy or rights of others
• Interfere with the availability or integrity of the service or other workspaces' data

We may suspend or terminate accounts that violate this section, with notice where practical.

6. Billing

Paid plans are billed on a recurring basis (monthly, unless otherwise stated at checkout) through our payment processor. Prices are shown at checkout in your local currency where supported. Plan changes (upgrades or downgrades) are prorated by our payment processor. You can cancel a subscription at any time from Settings → Billing; access continues through the end of the paid period. 7. Availability

We aim to keep Prezdo available and reliable but do not guarantee uninterrupted access. We may perform maintenance, and features on paid plans may evolve — where a change materially reduces functionality you're paying for, we'll give reasonable notice.

8. Termination

You may stop using Prezdo and delete your workspace at any time. We may suspend or terminate access for breach of these Terms, non-payment, or legal/security reasons. On termination, we will retain or delete Your Content in line with our Privacy Policy.

9. Disclaimers & liability

Prezdo is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law. To the fullest extent permitted by law, Prezdo and its operators are not liable for indirect, incidental, or consequential damages arising from use of the service, and our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

10. Changes to these terms

We may update these Terms as the product evolves. We'll update the effective date above, and for material changes we'll make reasonable efforts to notify workspace owners. Continued use after a change constitutes acceptance.
